1. Introduction
This Affiliate Agreement (“Agreement”) governs your participation in the AhoyVPN Affiliate Program. By applying to or participating in the Program, you agree to these terms. The Program is invitation‑only; we reserve the right to accept or reject any application at our sole discretion.
2. Definitions
- “Affiliate” means you, the invited partner.
- “Referral” means a new customer who signs up for AhoyVPN using your unique referral link.
- “Commission” means the percentage of net profit paid to you for each Referral’s subscription payments.
- “Net Profit” means subscription revenue minus operating expenses (server costs, payment‑processing fees, API‑key service fees, domain registration, and other direct costs of providing the VPN service).
3. Commission Structure
Affiliates earn 25% of Net Profit generated by their Referrals. Commission is calculated monthly per Referral. The minimum commission per Referral per month is $0.75, regardless of operating expenses.
Example: If a Referral pays $5.50/month and operating expenses total $1.20/user/month, Net Profit is $4.30. Your commission would be 25% of $4.30 = $1.075/month for that Referral.
Commissions are paid approximately 30 days after the end of each calendar month. We provide detailed reporting in your affiliate dashboard.
4. Payment Methods
Commissions are paid via:
- Stripe Connect (bank transfer) – primary method
- Cryptocurrency via Plisio – available by special arrangement. Supported coins include Bitcoin (BTC), Ethereum (ETH), Litecoin (LTC), and others. You must provide a valid wallet address.
A minimum payout threshold of $50 applies. Unpaid commissions under the threshold roll over to subsequent months.
5. Affiliate Obligations
You agree to:
- Promote AhoyVPN ethically and truthfully
- Not engage in spam, misleading claims, or trademark infringement
- Not bid on AhoyVPN‑related keywords in paid search ads without written permission
- Not promote on websites that distribute pirated content or engage in illegal activity
- Comply with all applicable laws, including FTC disclosure requirements (clearly disclosing your affiliate relationship)
6. Intellectual Property
We grant you a limited, non‑exclusive, revocable license to use AhoyVPN trademarks, logos, and marketing materials solely for promoting the Service in accordance with this Agreement. You may not modify our branding or create derivative works without prior written consent.
7. Termination
Either party may terminate this Agreement with 30 days’ written notice. Upon termination, you will receive commissions for Referrals acquired before termination, provided those Referrals remain active customers. We may terminate immediately if you breach this Agreement.
8. Limitation of Liability
AhoyVPN’s total liability to you under this Agreement shall not exceed the total commissions paid to you in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages.
9. Changes to Agreement
We may modify this Agreement with 30 days’ notice. Continued participation in the Program after changes constitutes acceptance.
10. Governing Law
This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law principles.
